1. Acceptance of Terms

By accessing or using the websites, applications, or services ("Services") operated by Nexond, you agree to be bound by these Terms of Service. If you do not agree, please do not use our Services.

2. Description of Service

Nexond provides software-as-a-service (SaaS) products, including but not limited to:

• Relayra — a cross-device content sharing tool that enables real-time syncing of text, links, images, audio, video, and files across phones, computers, and tablets.

Our Services are accessible via web browsers and as Progressive Web Apps (PWAs). We may add, modify, or discontinue features at our discretion.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information.
• Notify us immediately of any unauthorized use of your account.
• Not share your account credentials with any third party.

4. Acceptable Use

You agree not to:

• Upload, share, or transmit any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Use our Services to distribute malware, spam, or engage in phishing.
• Attempt to gain unauthorized access to our systems or infrastructure.
• Interfere with the operation of our Services or disrupt other users' access.
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of our Services.

5. Payment and Subscription Terms

• Some Services are offered on a free tier with limited features. Premium features require a paid subscription.
• Paid subscriptions are billed on a recurring basis (monthly or annually) at the rates displayed at the time of purchase.
• All payments are processed securely through Stripe. Nexond does not store your payment card details.
• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• You may cancel your subscription at any time. After cancellation, you retain access to paid features until the end of the current billing period.
• We reserve the right to change pricing with reasonable notice. Price changes will take effect at the start of your next billing period.

6. Intellectual Property

All content, software, trademarks, and materials available through our Services are the intellectual property of Nexond unless otherwise stated. You may not duplicate, copy, or reuse any portion without our express written permission. Content you upload remains yours, but you grant us a limited license to process and transmit it as necessary to provide the Services.

7. Service Termination

We reserve the right to suspend or terminate your access to the Services at any time if:

• You violate these Terms of Service.
• Your account is involved in fraudulent or abusive activity.
• Required by law or regulatory authority.

Upon termination, your right to use the Services ceases immediately. We may, at our discretion, provide a reasonable period to export your data before deletion.

8. Third-Party Services

Our Services may integrate with third-party services such as Stripe (payments), Supabase (infrastructure), Sentry (error tracking), and PostHog (analytics). Your use of those third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices of third-party providers.

9. Limitation of Liability

To the maximum extent permitted by law, Nexond shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Services. Our total liability to you shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Modifications to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the Services after changes constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the jurisdiction where Nexond is legally registered. Any disputes arising from these Terms shall be resolved in the corresponding local courts.
